These Terms of Use (“Terms”) govern your use of our website at 

www.healthytakeofftravelmedicine.com, any other website where these Terms are hyperlinked, and all services and products (collectively, the “Services”) provided by Healthy Takeoff Travel Medicine, LLC and any of their affiliates and subsidiaries (collectively, “Healthy Takeoff”). By using the Services, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, do not use the Services. 

THESE TERMS CONTAIN AN AGREEMENT TO ARBITRATE ALL CLAIMS, A WAIVER OF CLASS ACTION CLAIMS, AND A WAIVER OF YOUR RIGHT TO A JURY. 

These Terms are between the individual using the Services (“you”) and Healthy Takeoff (“we,” “our” and “us”). Sometimes we and you are referred to as the “parties” in these Terms.  

  1. SERVICES

Healthy Takeoff is a medical practice that provides patient evaluations and, if and to the extent appropriate, prescriptions for medicines intended to vaccinate and help safeguard patients as they travel. All clinical and wellness services are performed by Healthy Takeoff Travel Medicine, LLC and its affiliated healthcare provider groups. 

  1. USER ELIGIBILITY

In order to access the Services, you represent and warrant that you are at least 18 years old and that you have the authority and capacity to consent to use the Services. 

  1. ELECTRONIC COMMUNICATIONS

Since part of the Services requires telecommunication or internet connections, you agree that information and communication may be provided electronically. You expressly consent to us providing notices to you electronically. We may provide electronic notices regarding activity and alerts through the Services, your account, or via email to the contact information you provide us. Any change to your contact information will limit

our ability to provide notices. You must notify us of any contact information changes immediately. 

  1. USER ACCOUNTS

To use certain features of the Services, you may need to create a user account. You are responsible for maintaining the confidentiality of your login credentials and other account information and for all activities that occur under your account. You agree to notify Healthy Takeoff immediately of any unauthorized use or breach of security. 

You must notify us immediately of any breach of security or unauthorized use of your account and disable your account immediately. We may terminate access to your account and the Services if we believe, in our sole discretion, that your account has been compromised. We are not liable to you for any losses you incur in connection with a breach of security or unauthorized use of your account. You are liable to us for any losses we incur in connection with a breach of security or unauthorized use of your account. 

  1. COLLECTION OF INFORMATION

As part of the Services, Healthy Takeoff may collect and store personal information about users and their associated companies. This information may include, but is not limited to, names, email addresses, company names, job titles, and contact information. For more details on how we collect, use, and protect your information, please refer to our Privacy Policy.

The information collected may be used for various purposes, including but not limited to: 

  • Providing, maintaining, and improving the Services.
  • Customizing content and user experience.
  • Communicating with users regarding updates, news, and promotions. ● Analyzing usage patterns to enhance the functionality and accuracy of the Services.
  1. USER CONTENT

In the course of utilizing the Service, you may generate and share content, including but not limited to text, images, videos, and links. By submitting content, you grant Healthy Takeoff a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display the content in connection with the Services. 

You may, at your discretion, choose to provide personal information in addition to required user information. You represent and warrant to us that any information you provide, including user information, is true, accurate, and complete.   1. HEALTHY TAKEOFF’S CONTENT

Our website contains certain informational and educational content relevant to our Services (“Content”). The use of the Content is at your own risk. The Content is intended for your personal use. You shall not use it for commercial purposes. Any print or download of the Content shall retain any and all copyright, patent, or trademark notices or labels on the Content without alteration. 

We may use information from third-party sources and creators in connection with providing the Content. Information may be inaccurate, incomplete or out of date. Healthy Takeoff shall not be responsible for, and makes no representations or warranties as to, the accuracy, recency, reliability, or completeness of the Content.

The information and materials made available through or related to the Services are and will remain our property or the property of our licensors and suppliers, and are protected by copyright, trademark, patent, trade secret, and other proprietary rights and laws. You agree not to reproduce, modify, rent, lease, loan, sell, distribute, create derivative works, 

or otherwise make any unauthorized use of any part of the Services or Content. No license or right is granted to use any of our trade names, trademarks, or service marks or that of our licensors or suppliers. 

  1. PROHIBITED ACTIVITIES

You agree not to engage in any of the following activities or assist others to engage in the following activities:

  • Permitting any third party to access or use the Services, your account, or content from Healthy Takeoff’s websites.
  • Using the Services for any commercial purpose or otherwise in a manner not expressly permitted by these Terms.
  • Violating any applicable laws, regulations, or third-party rights.

Posting, transmitting, or sharing any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable. 

  • Impersonating any person or entity or falsely representing your affiliation with any person or entity.
  • Collecting, storing, using, or disclosing personal information of other users without their consent.
  • Removing any copyright, trademark, proprietary rights, disclaimer, or warning notice included on or embedded in any part of the Services.
  1. TERMINATION

Healthy Takeoff may, at its sole discretion, suspend or terminate your access to the Services without prior notice, for any reason, including, but not limited to, a breach of these Terms. 

  1. DISCLAIMER OF WARRANTIES

THE SERVICES AND CONTENT ARE PROVIDED TO YOU “AS IS”, “AS AVAILABLE”, WITH ALL FAULTS, AND WITHOUT ANY WARRANTIES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, NO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, QUALITY OF INFORMATION, ACCURACY, NONINFRINGEMENT, TITLE, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE. YOU EXPRESSLY AGREE AND ACKNOWLEDGE THAT USE OF THE SERVICES IS AT YOUR SOLE RISK. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY HEALTHY TAKEOFF OR ITS AUTHORIZED REPRESENTATIVES WILL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF HEALTHY TAKEOFF’S OBLIGATIONS HEREUNDER. 

  1. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, HEALTHY TAKEOFF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOST PROFITS, REVENUE, GOODWILL, USE, OR DATA. 

WE ARE NOT LIABLE FOR ANY UNAUTHORIZED ACCESS, USE OR DISCLOSURE OF ANY INFORMATION RELATING TO YOU HELD, MAINTAINED, OR UNDER THE CONTROL OF ANY THIRD PARTY, INCLUDING ANY SECURITY BREACH RELATING TO INFORMATION ABOUT YOU EXPERIENCED BY OUR SERVICE PROVIDERS. OUR MAXIMUM LIABILITY TO YOU FOR ALL CLAIMS, ACTIONS, PROCEEDINGS, SETTLEMENTS, DAMAGES, LOSSES, LIABILITIES, PENALTIES, FINES, COSTS, AND EXPENSES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL BE $100.  

  1. WAIVER OF JURY, JURISDICTION, VENUE

In the event the agreement to arbitrate disputes below is not enforceable for any reason: (i) THE PARTIES EXPRESSLY WAIVE ANY RIGHT TO TRIAL BY JURY OF ANY CLAIM, ACTION, DEMAND, OR PROCEEDING RELATING TO THESE TERMS AND THE SERVICES; and (ii) the parties consent to the personal jurisdiction and venue of the federal and state courts in the state of Florida for any court action or proceeding. 

  1. INDEMNIFICATION

You agree to indemnify and hold Healthy Takeoff and their employees, officers, directors, owners, and agents harmless from and against all claims, actions, proceedings, settlements, damages, losses, liabilities, penalties, fines, costs, and expenses (including attorneys’ fees) arising out of or related to (1) your access or use of the Services or (2) your breach of any or any of your representations, warranties, or agreements contained in these Terms. 

  1. CHANGES TO TERMS

Healthy Takeoff reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the Services after any such changes constitutes acceptance of the updated Terms.

  1. ARBITRATION

You and Healthy Takeoff agree that any dispute, claim, or controversy relating in any way to these Terms or your use of the Services will be determined by binding arbitration instead of in courts of general jurisdiction. You agree that, by agreeing to these Terms, the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and Healthy Takeoff are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Terms and any other contractual relationship between you and Healthy Takeoff.
